Terms of Use & EULA

These Terms of Use (“Terms”) form a binding agreement between you and TradeGPT (“TradeGPT”, “we”, “us”) governing your use of the TradeGPT iPhone app, the TradeGPT Pro subscription, and related services (the “Service”). By installing or using TradeGPT you agree to these Terms.

1. The Service

TradeGPT provides AI-generated chart analysis on iOS for informational and educational purposes. Outputs are not investment, financial, legal, or tax advice. See our Disclaimer for the full risk notice.

2. License (EULA)

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use TradeGPT on Apple-branded devices that you own or control, in accordance with the Apple Media Services Terms and these Terms.

3. Subscriptions (auto-renewable)

• TradeGPT Pro is an auto-renewable subscription billed through your Apple ID.
• Title, duration, and price are shown in-app before purchase (weekly or annual plans).
• Payment is charged to your Apple ID at confirmation of purchase.
• Your subscription renews automatically at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours prior to the end of the current period.
• Manage or cancel at any time: Settings → Apple ID → Subscriptions → TradeGPT.
• Any unused portion of a free trial is forfeited when you purchase a subscription.

Current product names, durations, and prices are shown on the in-app paywall and in the App Store listing. Those values control if there is any discrepancy with this page.

4. Refunds

All payments are processed by Apple and refund requests are handled exclusively by Apple at reportaproblem.apple.com.

5. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Scrape, resell, or commercially redistribute outputs.
• Use the Service for unlawful, abusive, or automated bulk access.
• Upload content you don't have the right to use.

6. Account & termination

You're responsible for activity under your account. We may suspend or terminate access if you violate these Terms or create risk for the Service or other users.

7. Intellectual property

The Service, including software, design, and trademarks, is owned by us and our licensors. You retain ownership of charts you upload; you grant us a limited license to process them solely to deliver and improve the Service.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND ONLY WHERE SUCH A LIMITATION IS PERMITTED, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $50. WE ARE NOT LIABLE FOR TRADING LOSSES, LOST PROFITS, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW (INCLUDING DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR NON-EXCLUDABLE CONSUMER RIGHTS).

9a. AI training and your uploads

We do not use your chart uploads to train third-party public AI models. Inputs are sent to our inference providers under enterprise/API terms that contractually exclude training on customer data. See our Privacy Policy and Subprocessors list.

9b. Indemnification

You agree to defend, indemnify, and hold harmless TradeGPT and its affiliates from any third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) your misuse of the Service, (b) content you submit, or (c) your violation of these Terms or applicable law.

9c. Dispute resolution and arbitration (US users)

If you reside in the United States, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in English, seated in a mutually convenient location or by video. You and we waive any right to a jury trial and to participate as a plaintiff or class member in any class, collective, or representative action. Either party may bring an individual claim in small-claims court for disputes within that court's jurisdiction. You may opt out of this arbitration agreement by emailing support@tradegptchart.com within 30 days of first accepting these Terms with the subject line “Arbitration Opt-Out”.

9d. Force majeure

Neither party is liable for any delay or failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, governmental action, labor disputes, internet or power outages, or epidemics.

9e. General

• Severability. If any provision is held unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, our Privacy Policy, and any in-app disclosures are the entire agreement between you and us regarding the Service.
• Notices. We may give notices in-app or by email to the address on your account.

10. Apple-specific EULA terms

The following applies when you obtain TradeGPT through Apple's App Store. You and we acknowledge that these Terms are concluded between you and us only, not with Apple, and Apple is not responsible for the Service or its content.

• Scope of license. The license is limited to a non-transferable license to use TradeGPT on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms.
• Maintenance & support. We are solely responsible for providing any maintenance and support; Apple has no obligation to furnish any maintenance or support services with respect to the Service.
• Warranty. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Service. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Service.
• Product claims. We, not Apple, are responsible for addressing any claims relating to the Service, including product liability claims, claims that the Service fails to conform to legal/regulatory requirements, and consumer protection or similar claims.
• Intellectual property. In the event of any third-party claim that the Service or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.

11. Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts located in Bareilly, Uttar Pradesh, India will have exclusive jurisdiction, except where mandatory consumer-protection laws of your country of residence provide otherwise.

11a. Consumer-rights carve-outs

Nothing in these Terms limits non-excludable statutory rights you may have as a consumer, including:

• United Kingdom, rights under the Consumer Rights Act 2015.
• European Union, mandatory consumer-protection rules of your country of residence.
• Australia, non-excludable consumer guarantees under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010).
• Canada, provincial consumer-protection statutes.
• India, rights under the Consumer Protection Act, 2019.
• United States, applicable state consumer-protection law.

12. Changes to these Terms

We may update these Terms. Material changes will be communicated in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
